These Terms of Service ("Terms") govern your access to and use of the Proto website and any related services (collectively, the "Services") provided by Proto ("Proto", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Proto is winding down operations. Information presented on the site is provided for informational purposes, including in connection with potential IP and asset sale inquiries. Features, availability, and content may change or be discontinued at any time without notice.

You agree to use the Services only for lawful purposes and in compliance with these Terms. You will not (a) interfere with or disrupt the Services, (b) attempt to gain unauthorized access to any portion of the Services, (c) reverse engineer or scrape the Services, or (d) use the Services to transmit unlawful, harmful, or infringing content.

The Services, including all software, text, graphics, logos, and other content, are owned by Proto or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business evaluation purposes.

The Services may link to third-party websites or services, including scheduling and video hosting providers. We are not responsible for the content, policies, or practices of third parties, and your use of those services is governed by their own terms.

PROTO DOES NOT PROVIDE MEDICAL ADVICE, AND NOTHING ON THE SITE SHOULD BE RELIED UPON FOR CLINICAL DECISIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

You agree to indemnify and hold harmless Proto and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Delaware.
